Acceptance of Terms
These Terms of Use ("Terms") govern your access to and use of the website at myappstudio.site, the MyApp Studio client portal, and all related services (collectively, the "Platform") provided by MyApp Studio ("MyApp Studio," "we," "us," or "our"), a custom mobile application development company operating in the Philippines.
By visiting the website, submitting an intake form, signing a project contract, accessing the client portal, or otherwise engaging with our services, you ("Client," "you," or "your") acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety.
If you are entering into these Terms on behalf of a business or other legal entity, you represent that you have the authority to bind that entity to these Terms. If you do not have such authority, or if you do not agree with any provision of these Terms, you must not access or use the Platform.
These Terms apply alongside any project contract, proposal, or statement of work signed between you and MyApp Studio. In the event of a conflict between these Terms and a signed project contract, the terms of the signed project contract prevail.
Description of Services
MyApp Studio provides the following services to clients:
- Custom mobile application development — We design and build native and cross-platform mobile applications for iOS and Android, tailored to the specific operational and commercial needs of Philippine small and medium businesses.
- Client portal access — Upon project kickoff, clients receive secure login credentials to the MyApp Studio client portal, which provides real-time project tracking, milestone updates, file sharing, and direct communication with the project team.
- Project management and coordination — Our team manages the full development lifecycle, including discovery, UI/UX design, development sprints, quality assurance, and app store submission support.
- Post-launch subscription support — Clients on a monthly subscription plan receive ongoing maintenance, minor updates, bug fixes, and technical support as defined in the applicable service tier.
The specific scope of services, deliverables, timelines, and pricing for each project are defined in the project proposal and confirmed in the signed project contract. Nothing in these Terms constitutes a guarantee of any particular feature, timeline, or outcome beyond what is expressly stated in that contract.
Client Responsibilities
A successful project depends on active participation from both parties. By engaging MyApp Studio, you agree to the following responsibilities:
Accuracy of Information
You agree to provide complete, accurate, and truthful information in the intake form and throughout the project. Providing materially inaccurate information — including about your business, technical requirements, target audience, or budget — may result in scope changes, additional charges, or project delays, and does not give rise to any claim against MyApp Studio.
Timely Feedback and Approvals
Development progresses in stages. You agree to review deliverables and provide written feedback or approval within the timeframe specified in your project contract (the "feedback window"). Where no specific window is stated, feedback is due within five (5) business days. Delays in feedback that push the project beyond its scheduled milestones are considered client-caused delays and may affect delivery dates and resource allocation without additional cost to MyApp Studio.
Providing Required Assets
You are responsible for supplying all content, branding materials, logos, copy, images, and third-party service credentials required to complete the app. MyApp Studio will provide a written asset checklist at project kickoff. Failure to deliver required assets by agreed dates may delay the project schedule. MyApp Studio is not responsible for delays caused by late or incomplete asset delivery.
Portal Credentials and Account Security
Your client portal login credentials are personal and non-transferable. You must not share your username or password with any person outside your authorized team. You are responsible for all activity that occurs under your account. If you suspect unauthorized access, notify us immediately at hello@myappstudio.site.
Lawful Use
You agree to use the Platform and any delivered application only for lawful purposes and in compliance with applicable Philippine law. You must not use our services to develop applications intended to facilitate fraud, harassment, or any activity that violates the rights of third parties.
Payment Terms
Onboarding Fee
A non-refundable onboarding fee is due in full before project kickoff. Work will not begin — and portal access will not be granted — until the onboarding fee payment is confirmed. The amount of the onboarding fee is stated in your project proposal.
Milestone Payments
For Standard and Premium package projects, the remaining project fee is structured as milestone payments as specified in the signed project contract. Each milestone payment becomes due upon MyApp Studio's delivery of the corresponding milestone deliverable. Continued development on the next milestone is contingent on receipt of the prior milestone payment. MyApp Studio reserves the right to pause work if a milestone payment is overdue by more than five (5) business days.
Monthly Subscription
Clients on a monthly support and maintenance subscription are billed in advance at the start of each billing cycle. The subscription fee is charged automatically on the same date each month via the payment method on file. If a subscription payment fails, access to subscription-tier services may be suspended until the outstanding balance is settled.
Payment Processing
All payments are processed through PayMongo, a licensed payment gateway in the Philippines. Accepted payment methods include GCash, Maya, major credit and debit cards, and QR Ph. By submitting payment, you agree to PayMongo's terms of service. MyApp Studio does not store your card or wallet credentials.
Refund Policy
Please read carefully. The onboarding fee is non-refundable under all circumstances, as it covers initial project scoping, discovery, and resource allocation. Once development work has commenced on any milestone, the fees attributable to that milestone are non-refundable. This policy exists because development labor is expended and cannot be recovered once work has begun.
If MyApp Studio fails to deliver a contracted milestone due to our own default, we will either remedy the deficiency or provide a proportionate credit toward future work. Requests for refunds or credits due to MyApp Studio's default must be submitted in writing within fourteen (14) days of the missed delivery date.
Late Payments
Invoices unpaid after their due date accrue interest at the rate of 2% per month on the outstanding balance, or the maximum rate permitted by Philippine law, whichever is lower. MyApp Studio reserves the right to suspend services and withhold deliverables until all outstanding balances are paid in full.
Intellectual Property
Ownership of Delivered Work
Upon receipt of full and final payment of all fees due under the project contract, MyApp Studio assigns to you all ownership rights in the custom source code, designs, and application assets specifically created for your project ("Deliverables"). At that point, you are free to modify, distribute, and commercialize the Deliverables without restriction. Assignment of ownership does not occur until the final invoice is paid in full.
Portfolio Rights
MyApp Studio retains the perpetual, non-exclusive right to display screenshots, descriptions, and general information about your completed project in our portfolio, case studies, and marketing materials. We will not disclose commercially sensitive information (such as internal pricing or proprietary business processes) without your prior written consent. If your project is subject to a confidentiality requirement, please notify us in writing and we will exclude it from public-facing portfolio use.
Client-Provided Materials
All content, logos, trademarks, copy, images, and other materials that you provide to MyApp Studio for inclusion in your project remain your sole intellectual property. You grant MyApp Studio a limited license to use those materials solely for the purpose of completing your project. You represent and warrant that you own or have the necessary rights to all materials you provide, and that their use by MyApp Studio in delivering your project will not infringe the intellectual property rights of any third party.
MyApp Studio Platform and Tooling
The MyApp Studio website, client portal, internal dashboards, project management tools, templates, and proprietary development frameworks are and remain the exclusive intellectual property of MyApp Studio. Nothing in these Terms or in any project contract transfers ownership of, or grants you a license to, any part of the Platform except as expressly stated in these Terms.
Third-Party Components
Your delivered application may incorporate open-source libraries, third-party SDKs, or licensed components. MyApp Studio will disclose material third-party dependencies upon request. Your use of those components is subject to their respective licenses. MyApp Studio does not grant you any rights to third-party intellectual property beyond what is conferred by the applicable third-party license.
Confidentiality
Both parties acknowledge that in the course of the project, each may have access to non-public information belonging to the other, including business plans, technical specifications, financial information, customer data, trade secrets, and proprietary processes ("Confidential Information").
Each party agrees to:
- Hold the other party's Confidential Information in strict confidence;
- Use Confidential Information only for the purpose of fulfilling obligations under the project contract; and
- Disclose Confidential Information only to employees, contractors, or service providers who have a legitimate need to know and are themselves bound by confidentiality obligations no less protective than those in these Terms.
MyApp Studio will not sell, rent, or disclose your business information, project details, or client data to any third party except: (a) as required to deliver the agreed services (for example, sharing design files with a contracted UI designer working on your project); (b) as required by applicable Philippine law or a valid court order; or (c) with your prior written consent.
Confidentiality obligations do not apply to information that: (i) is or becomes publicly available through no breach of these Terms; (ii) was already known to the receiving party prior to disclosure; (iii) is independently developed by the receiving party without reference to the Confidential Information; or (iv) is received from a third party with no confidentiality obligation.
Confidentiality obligations survive termination of the project contract for a period of three (3) years.
Revision and Change Policy
Each project contract specifies the number of revision rounds included at each project stage (typically design and development). A "revision round" means one consolidated set of written change requests submitted by you and addressed by the MyApp Studio team in a single response cycle.
Revision requests that fall within the agreed scope and the allocated revision rounds are included at no additional charge. The following are not covered by standard revision rounds and will be treated as change requests:
- New features or screens not included in the original scope of work;
- Changes to core user flows or navigation structure after those have been approved;
- Revisions requested after a milestone has been formally approved in writing; and
- Requests that require third-party integrations outside the original specification.
For out-of-scope changes, MyApp Studio will provide a written change order detailing the additional time, cost, and impact on the project schedule. Work on the change will begin only after you have approved and signed the change order. MyApp Studio is not obligated to implement any change that has not been agreed to in writing.
Warranties and Limitations of Liability
Our Warranty
MyApp Studio warrants that the Deliverables will materially conform to the specifications and requirements set out in the signed project contract at the time of delivery. If a Deliverable contains a material defect that was present at delivery, MyApp Studio will remedy the defect at no additional charge, provided that you notify us in writing within thirty (30) days of delivery.
App Store Approval
MyApp Studio will prepare your application for submission to the Apple App Store and Google Play Store and will assist with the submission process. However, we make no warranty regarding the approval, rejection, or removal of your application by Apple Inc. or Google LLC. App store review decisions are made at the sole and exclusive discretion of those platforms according to their own guidelines, which may change without notice. Rejection by an app store does not entitle you to a refund of fees paid. MyApp Studio will work with you in good faith to address any specific technical rejection reasons within the scope of the original project.
Disclaimer of Other Warranties
Except as expressly stated in these Terms or in a signed project contract, the Platform and all services are provided on an "as is" and "as available" basis. MyApp Studio expressly disclaims all other warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by applicable law.
Limitation of Liability
To the maximum extent permitted by Philippine law, MyApp Studio's total aggregate liability to you for any claim arising out of or relating to these Terms, the Platform, or any delivered services — whether in contract, tort, or otherwise — is limited to the total fees actually paid by you to MyApp Studio in the twelve (12) months preceding the event giving rise to the claim.
MyApp Studio will not be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of profits, loss of data, loss of goodwill, or business interruption, even if we have been advised of the possibility of such damages.
These limitations apply to the fullest extent permitted by law. Nothing in these Terms limits liability for fraud, willful misconduct, or death or personal injury caused by negligence.
Termination
Termination by Either Party
Either party may terminate the project contract and these Terms by providing thirty (30) days' prior written notice to the other party. Written notice must be sent by email to the other party's designated contact address on file.
Work Completed to Date
Upon termination, MyApp Studio will deliver to you all completed and substantially completed work product created up to the effective date of termination, subject to full payment of all fees due for work performed up to that date. Work product will be delivered in a format reasonably accessible to you.
Outstanding Fees
Termination does not release you from the obligation to pay for work already performed. All fees for completed milestones and work-in-progress (prorated to the actual work completed at the time of termination) remain due and payable. Termination does not entitle you to a refund of any fees previously paid.
Termination for Cause
MyApp Studio may terminate the project contract with immediate effect, without the thirty-day notice period, if you: (a) fail to pay a milestone invoice within fifteen (15) business days of its due date; (b) materially breach these Terms or the project contract and fail to cure that breach within ten (10) business days of written notice; or (c) engage in conduct that is unlawful, abusive, or harmful to MyApp Studio or its team.
Effect of Termination
Upon termination, your right to access the client portal ceases. Provisions of these Terms that by their nature should survive termination — including intellectual property, confidentiality, payment obligations, warranties, limitations of liability, and governing law — will continue in full force.
Governing Law and Dispute Resolution
These Terms and any dispute or claim arising out of or in connection with them are governed by and construed in accordance with the laws of the Republic of the Philippines, without regard to conflict-of-law principles.
Mediation First
Before initiating formal legal proceedings, both parties agree to attempt to resolve any dispute through good-faith negotiation for a period of at least fifteen (15) days from the date the dispute is first raised in writing. If negotiation is unsuccessful, either party may request non-binding mediation before a mutually agreed mediator or, failing agreement, a mediator appointed under the rules of the Philippine Mediation Center. Mediation costs will be shared equally unless otherwise agreed.
Jurisdiction
If a dispute is not resolved through negotiation or mediation within sixty (60) days of the written notice of dispute, either party may bring the matter before the appropriate courts of Makati City, Metro Manila, Philippines, which shall have exclusive jurisdiction over all disputes arising from or relating to these Terms. Both parties irrevocably submit to the personal jurisdiction of those courts.
Changes to These Terms
MyApp Studio reserves the right to update or modify these Terms at any time. When we make material changes, we will update the "Last Updated" date at the bottom of this page and, where reasonably practicable, notify active clients by email at the address on file.
Continued use of the Platform or the client portal after the updated Terms take effect constitutes your acceptance of the revised Terms. If you do not agree with the updated Terms, you should notify us in writing and cease using the Platform. Changes to these Terms do not retroactively affect the rights and obligations set out in a project contract signed before the changes took effect.
